ESTEC ANNOUNCES ESTEC ANNOUNCES SUBSIDIARY SIGNS AGREEMENT WITH TD EQUIPMENT INC.

ESTec Systems announces that on Wednesday September 01, 2004 its subsidiary Allan R. Nelson Engineering (1997) Inc. signed a manufacturing agreement with TD Equipment Inc. of Edmonton.

The agreement will give TD Equipment Inc. the rights to manufacture the IntegraLine series of top drives based upon designs and drawings supplied by Allan R. Nelson Engineering (1997) Inc.

TD Equipment Inc. has also agreed to take over the servicing of the top drives currently in existence. TD Equipment Inc. shall have exclusive worldwide rights except for China.

For every top drive TD Equipment Inc. manufactures Allan R. Nelson Engineering (1997) Inc. will receive royalties.
